Terms of Service
These terms govern the TopOMS public Shopify connector and supplement the agreement under which an organization uses the TopOMS order management service. The Shopify connector is free of additional app charges, but a valid TopOMS account and any separately agreed TopOMS service plan are still required.
1. Agreement and scope
By installing, authorizing, connecting, or using the TopOMS Shopify connector, you agree to these Terms of Service on behalf of yourself and, where applicable, the organization you represent. “TopOMS”, “we”, “us”, and “our” refer to the TopOMS contracting party identified in that organization’s TopOMS service agreement or order form.
These terms apply specifically to the Shopify connector and related embedded connection page. The organization’s existing TopOMS service agreement, order form, data-processing terms, and acceptable-use rules continue to govern its TopOMS account and the underlying order management service. Shopify’s own terms and policies govern the Shopify platform and Shopify account.
2. Eligibility and authority
The connector is intended for businesses that already have, or have been approved for, a TopOMS account. Its unlisted or limited distribution does not make it a consumer product or a general offer to the public. You must be legally capable of entering a binding agreement and authorized both to administer the Shopify store and to select the TopOMS workspace to which it will be connected.
If you act for an organization, you confirm that you have authority to accept these terms, grant the requested Shopify permissions, and instruct TopOMS to process the store’s data. Do not install or connect the app if you do not have that authority.
3. What the connector does
TopOMS is an order management platform for commerce operations. Once authorized and connected to a TopOMS workspace, the Shopify connector may synchronize the Shopify data and actions supported by the enabled TopOMS features, such as stores, orders, customers, products, variants, inventory, fulfillment, shipment, tracking, return, and related operational information.
The embedded Shopify page has a limited purpose: it securely establishes the Shopify connection and lets an authorized merchant link the store to the appropriate TopOMS workspace. The operational features are provided in the TopOMS service rather than inside the embedded page.
4. Free Shopify connector; other charges
TopOMS does not charge an installation fee, subscription fee, usage fee, or other app fee through the Shopify Billing API for this connector. The connector is provided without an additional Shopify app charge.
This does not make the underlying TopOMS account or service free. Any TopOMS subscription, implementation, support, usage, or other charges are governed exclusively by the organization’s separate TopOMS service agreement or order form. Shopify fees, courier charges, carrier charges, taxes, telecommunications costs, and charges from other third-party services remain the merchant’s responsibility.
5. Installation, permissions, and connection
Installation and permission approval take place through Shopify’s managed installation process. The Shopify administrator must review and grant the requested scopes before the connector can access store data. TopOMS uses Shopify session-token authentication and Shopify’s token-exchange process to obtain and maintain the offline credentials needed to perform authorized background synchronization.
After installation, an authorized user follows a short-lived connection link, signs in to TopOMS, and selects a permitted workspace. A connection link is single-use, expires, and is tied to the Shopify store for which it was issued. You must not share, intercept, reuse, or attempt to alter a connection link or token.
Shopify permissions can be reviewed or revoked through Shopify. Removing required scopes, uninstalling the app, disconnecting the store, or losing access to the selected TopOMS workspace may stop synchronization and related features.
6. Account and workspace responsibilities
You are responsible for:
- providing accurate account and store information and keeping it current;
- protecting TopOMS and Shopify accounts, credentials, devices, and authentication methods;
- granting users only the roles and workspace access they need, and promptly removing obsolete access;
- reviewing synchronization, inventory, fulfillment, courier, and automation settings before relying on them;
- checking important orders and operational actions where human review is appropriate; and
- notifying TopOMS promptly of suspected unauthorized use or a security incident involving the connector.
Actions performed through an authorized account are treated as instructions from the account holder unless we have been notified that the account is compromised.
7. Lawful and acceptable use
You must use TopOMS and the Shopify connector only for lawful business purposes. You must not:
- connect a store, workspace, or data set that you are not authorized to control;
- process personal data without a valid purpose, lawful basis, and required customer notices;
- use the service to violate Shopify requirements, intellectual-property rights, sanctions, or applicable law;
- upload malware or harmful code, probe for vulnerabilities without written authorization, or disrupt the service;
- circumvent access controls, rate limits, scopes, tenant separation, security controls, or usage restrictions;
- reverse engineer or copy the service except to the limited extent that applicable law cannot exclude that right; or
- use the connector for deceptive, fraudulent, abusive, or privacy-invasive activity.
You remain responsible for the legality and accuracy of your products, orders, customer communications, fulfillment decisions, returns, exports, and instructions to couriers or other integrations.
8. Merchant and customer data
As between the merchant and TopOMS, the merchant retains its rights in store, order, catalog, and customer data. The merchant authorizes TopOMS to host, copy, transmit, transform, and otherwise process that data only as needed to provide, secure, support, and comply with the service and the merchant’s documented instructions.
For customer personal data imported from Shopify, the merchant normally acts as controller and TopOMS normally acts as processor or service provider. The merchant is responsible for an appropriate lawful basis, transparent customer notices, responding to customers, and ensuring its TopOMS configuration and connected integrations comply with applicable privacy and consumer law.
Our Privacy Policy explains the categories, purposes, disclosures, retention practices, security measures, Shopify compliance webhooks, and data-subject request process. Any applicable data-processing agreement remains part of the underlying TopOMS service terms.
9. Shopify, couriers, and other third-party services
Shopify, couriers, hosting services, marketplaces, carriers, and other connected providers operate services that TopOMS does not control. Their availability, data, APIs, policies, prices, and performance may change or fail. Your relationship with each third party is governed by its terms, and you are responsible for maintaining any required third-party account, contract, and permissions.
When you enable an integration or request a shipment, you instruct TopOMS to exchange the information reasonably necessary for that operation. TopOMS is not a carrier, payment provider, marketplace, or agent of Shopify and does not guarantee a third party’s acts, delivery times, data accuracy, or continued interoperability.
10. Availability, support, and changes
We work to keep the connector secure and available, but maintenance, security work, Shopify API changes, third-party outages, force majeure, or technical faults may interrupt it. Any service levels, support commitments, or remedies are those stated in the applicable TopOMS service agreement or order form.
We may add, modify, or discontinue connector functions to respond to security, law, Shopify platform changes, or product needs. Where reasonably possible and required by the applicable agreement, we will give notice of a material change that adversely affects use.
11. Suspension, disconnection, and termination
We may suspend or restrict the connector where reasonably necessary to prevent a security or privacy incident, comply with law or Shopify requirements, protect other customers, address prohibited use, or respond to a material breach. Where appropriate, we will explain the reason and provide a reasonable opportunity to remedy the issue.
The merchant may stop using the connector by disconnecting the store in TopOMS and uninstalling the app in Shopify. Ending the connector does not automatically terminate the underlying TopOMS service agreement. Ending the TopOMS agreement may end the connector. Following disconnection or uninstall, access credentials are removed or invalidated when no longer needed, and store and customer data is handled under the Privacy Policy, Shopify compliance requests, the service agreement, and applicable retention law.
Provisions that by their nature should survive termination—including ownership, confidentiality, data handling, accrued payment duties, warranty limitations, and liability terms—continue to apply.
12. Intellectual property and feedback
TopOMS and its licensors retain all rights in the service, connector, software, designs, documentation, and related technology, excluding merchant data and third-party materials. Subject to these terms and the applicable service agreement, TopOMS grants the customer a limited, non-exclusive, non-transferable right to use the connector for its internal business operations during the service term.
If you provide feedback, you permit TopOMS to use it without restriction or payment, provided that doing so does not disclose your confidential information or identify customer personal data.
13. Warranties and disclaimers
The warranties, service commitments, and remedies for the TopOMS service are those expressly stated in the applicable TopOMS service agreement. To the maximum extent permitted by law, and except for an express commitment in that agreement, the free Shopify connector is provided on an “as available” basis. We do not promise that it will always be uninterrupted, error-free, or compatible with every Shopify or third-party change.
Nothing in these terms excludes a warranty, remedy, or statutory right that cannot lawfully be excluded or limited. Merchants remain responsible for reviewing consequential business actions, including inventory, fulfillment, refunds, customer communications, and courier instructions.
14. Liability
Liability allocations, exclusions, and any financial cap are governed by the organization’s TopOMS service agreement or order form. If an applicable agreement does not address a matter, liability is limited only to the extent permitted by the law governing that agreement. Nothing here limits liability that cannot legally be limited, including any mandatory rights available under applicable law.
TopOMS is not responsible for loss caused by unauthorized account use that the merchant could reasonably have prevented, unlawful or inaccurate merchant instructions, merchant configuration, or the independent acts and outages of Shopify, couriers, or other third-party providers, except to the extent the applicable law or service agreement provides otherwise.
15. Contract priority and applicable law
If these connector-specific terms conflict with a signed TopOMS service agreement or order form, the signed agreement controls unless it expressly states otherwise. The governing law, courts, dispute process, formal notice addresses, contracting entity, and commercial terms are those specified in that agreement or order form. We do not designate a different legal entity, jurisdiction, or notice address on this page.
16. Changes to these terms
We may update these terms to reflect changes to the connector, Shopify requirements, security practices, or law. The date above identifies the current version. Where required, we will give reasonable notice of a material change. Continued use after an updated version takes effect constitutes acceptance only to the extent permitted by the applicable agreement and law.
